Public offer on a charitable donation

1. General provisions

This document is an official public offer (hereinafter referred to as the “Offer”) of the Your Help UA Charitable Foundation (hereinafter referred to as the “Foundation”) to enter into a charitable donation agreement (hereinafter referred to as the “Agreement”) with any capable individual or legal entity (hereinafter referred to as the “Donor”) who voluntarily makes a monetary donation to the Foundation’s account.

The Offer is addressed to an unlimited number of persons and is open-ended. The date of publication of the Offer shall be considered the date it is posted on the Foundation’s official website. The Foundation has the right to amend the terms of the Offer at any time — the new version shall take effect from the moment of publication.

2. Terms and definitions

Foundation — the Your Help UA Charitable Foundation, registered in accordance with the legislation of Ukraine as a non-profit organization (form No. 1-RN).

Donor — an individual or legal entity who voluntarily makes a donation in favor of the Foundation.

Donation — a gratuitous monetary transfer of the Donor’s own funds to the Foundation’s account for the purpose of implementing the Foundation’s statutory goals.

Acceptance — the Donor’s full and unconditional acceptance of the terms of this Offer by making a donation through any of the available methods indicated on the Foundation’s website.

3. Subject of the Agreement

The subject of the Agreement is the Donor’s voluntary, gratuitous, irrevocable transfer of monetary funds to the Foundation for the implementation of the Foundation’s statutory goals, in particular:

  • Psychological, emotional, and social support for children affected by the war.
  • Carrying out programs and recovery programs, including the Recovery project.
  • Supporting the Foundation’s operations (payment for specialists, materials, transportation, and premises).
  • Other purposes предусмотрені by the Foundation’s Charter.

4. Procedure for making a donation and acceptance

The Donor makes a donation in any convenient way indicated on the Foundation’s website: bank card, PayPal, bank transfer, or another method. The moment the donation is made (funds credited to the Foundation’s account) shall be considered the moment of acceptance of this Offer and the conclusion of the Agreement under the terms set out below.

The amount of the donation is determined independently by the Donor. The Foundation does not set a minimum or maximum amount.

By making a donation, the Donor confirms that:

  • Has read the full text of the Offer and agrees to all of its terms.
  • Makes the donation voluntarily and personally.
  • The funds belong to the Donor on legal grounds.
  • The Foundation has the right to use the donation within its statutory goals without additional approval from the Donor.

5. Rights and obligations of the parties

5.1. The Foundation undertakes to:

  • Use the received donations exclusively for the implementation of its statutory goals.
  • Maintain accounting records of donations in accordance with the requirements of the legislation of Ukraine.
  • Publish quarterly reports on the use of funds on the Foundation’s website.
  • Provide the Donor, upon request, with a document confirming receipt of the donation (receipt, statement, thank-you letter).

5.2. The Donor has the right to:

  • Receive information about the use of their donation based on an official request.
  • Refuse the donation before it is credited to the Foundation’s account.
  • Send proposals regarding the targeted use of the donation (not binding on the Foundation, but taken into account).

6. Liability of the parties

For failure to perform or improper performance of their obligations under the Agreement, the parties shall bear liability in accordance with the current legislation of Ukraine.

The Foundation shall not be liable for possible errors in payment details made by the Donor during the transfer. In the event of an erroneous payment, the Donor has the right to contact the Foundation for a refund — subject to the availability of a full set of documents confirming the error.

7. Confidentiality and personal data

The Foundation guarantees non-disclosure of the Donor’s personal data to third parties, except in cases provided for by law. More details — in the Privacy Policy.

The Foundation has the right to publish information about the Donor (name, company name, donation amount) — only with the Donor’s prior written consent.

8. Force majeure circumstances

The parties shall be released from liability for non-performance of obligations in the event of force majeure circumstances: martial law, armed conflicts, natural disasters, epidemics, decisions of state authorities that make performance of obligations impossible.

9. Other terms

The Agreement concluded under the terms of the Offer shall be governed by the legislation of Ukraine. All disputes that arise shall be resolved through negotiations. If no agreement can be reached, the dispute shall be referred to the competent court at the Foundation’s place of registration.

The Agreement shall remain in effect from the moment of acceptance of the Offer until the Foundation fulfills its obligations under this Agreement.
